Welcome to EduDesk ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the EduDesk platform, including any websites, mobile applications, and services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization (such as your school or district), you are agreeing to these Terms on behalf of that organization, and you represent and warrant that you have the authority to do so.
EduDesk is an IT ticketing and asset management system built specifically for educational institutions. The Service allows staff to report technical issues, track hardware problems, manage IT assets, and access analytics to improve technology support within educational environments.
We offer various subscription tiers with different features and limitations as described on our pricing page. Features may include AI-powered ticketing, classroom analytics, knowledge base management, and multi-campus support.
To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
We reserve the right to disable any user account if we believe you have violated these Terms or if we determine that your account activity poses a risk to the Service or other users.
EduDesk offers subscription-based access to the Service. Subscription fees are billed in advance on a monthly basis.
All payments are processed securely through Stripe. By providing payment information, you represent that you are authorized to use the payment method, and you authorize us to charge your payment method for the Service.
Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You can manage your subscription and billing information through your account dashboard.
We may change subscription fees at any time, but fee changes will not affect your current subscription period. We will provide notice of any fee changes before they become effective.
We offer a 15-day free trial of the Service. At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial ends.
You may be required to enter payment information to start a free trial, but you will not be charged until the trial period ends.
We take data privacy and security seriously. Our Privacy Policy describes how we collect, use, and share information in connection with your use of the Service. By using the Service, you agree to our collection, use, and sharing of information as described in the Privacy Policy.
We implement appropriate technical and organizational measures to protect your data. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.
You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations, including those related to student data privacy (such as FERPA in the United States).
The Service allows you to submit, upload, or share content such as ticket descriptions, comments, and knowledge base articles ("User Content"). You retain ownership of your User Content, but you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display your User Content in connection with providing and improving the Service.
You are solely responsible for your User Content and represent that you have all rights necessary to grant us the license described above. You agree not to submit User Content that violates these Terms or the rights of any third party.

We reserve the right to remove any User Content and suspend or terminate your access to the Service if we determine, in our sole discretion, that you have violated these Terms.
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of EduDesk and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
The Service may contain links to third-party websites or services that are not owned or controlled by EduDesk. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
You may cancel your subscription at any time through your account dashboard. Upon cancellation, your access to the Service will continue until the end of your current billing period.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
IN NO EVENT SHALL EDUDESK, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
